Terms and conditions for the use of our services

§ 1 Scope
These General Terms and Conditions (GTC) apply to all business relationships between Alpinasoft, a brand of Alpina Technologies LLP (hereinafter referred to as 'Contractor') and their clients (hereinafter referred to as 'Client').
Deviating, conflicting or supplementary general terms and conditions will only become part of the contract if and to the extent that their validity has been expressly agreed to.
§ 2 Services
Scope of Services
The contractor provides software development services, IT consulting and related services. The specific scope of services is defined in a separate contract or offer.
Service Delivery
Services are provided according to recognized technical standards and agreed specifications. Changes to the scope of services require written agreement.
§ 3 Client's Cooperation Obligations
The client undertakes to provide all necessary information, documents and access required for the proper execution of the project.

§ 4 Remuneration and Payment Terms
Remuneration
Remuneration is based on individual agreement. All prices are exclusive of applicable statutory VAT.
Payment Terms
Invoices are due for payment within 14 days of invoice date without deduction. In case of default, default interest of 8% above the base rate will be charged.
§ 5 Copyrights and Usage Rights
Copyrights
All works created by the contractor, in particular software, documentation and concepts, are subject to copyright. The client receives the agreed usage rights.
Usage Rights
After full payment of remuneration, the client receives the agreed usage rights to the created works. The scope of usage rights is regulated in the individual contract.
§ 6 Confidentiality
Both parties undertake to treat all confidential information that becomes known in the course of the business relationship strictly confidentially and to use it only within the scope of contract fulfillment.
This obligation continues after termination of the contractual relationship. Confidential information may only be passed on to third parties with written consent of the other party.
§ 7 Liability
Scope of Liability
The contractor is liable for damages only in case of intent and gross negligence. Liability for slight negligence is limited to the violation of essential contractual obligations.
Limitation of Liability
Liability is limited in amount to the contract value. There is no liability for indirect damages, lost profits and consequential damages, unless these are based on intent or gross negligence.
§ 8 Warranty
The contractor warrants that the services provided comply with the agreed specifications and are free from legal defects.
The warranty period is 12 months from acceptance of the service. In case of defects, the client initially has the right to rectification. If rectification fails, the client may demand reduction or withdrawal at their choice.
§ 9 Termination
Continuing obligations may be terminated by both parties with 30 days' notice to the end of the month. The right to extraordinary termination for good cause remains unaffected.
For projects with fixed duration, the contractual relationship ends upon completion of the project. Early termination is only possible for good cause.
§ 10 Final Provisions
Applicable Law
UK law applies to all legal relationships between the parties, excluding the UN Convention on Contracts for the International Sale of Goods.
Jurisdiction
Place of jurisdiction for all disputes is London, United Kingdom. This applies only to merchants, legal entities under public law or special funds under public law.
Severability Clause
Should individual provisions of these GTC be or become invalid, this does not affect the validity of the remaining provisions. The invalid provision shall be replaced by a valid one that comes closest to the intended purpose.
